The 7 directors of the 13th Board of Directors possess, on a whole, the abilities to make operational judgments, manage crises, learn knowledge of industry, perform accounting and financial analysis, conduct business management, understand international market, lead, and make decisions. Chairman HUANG CHIU YUNG, Vice Chairman HUANG LI LIN, Director Huang Tzu-Cheng, and Director and CEO Tseng Kung-Sheng have had experience in practical business management for many years; Independent Director Chen Tai-Jan is a teacher at a national university and has professional knowledge and experience in management and teaching; Independent Director Hsu Wan-Lung has worked in industry-academia cooperation for many years and had extensive experience in this field.
All the directors are the citizens of the Republic of China. The range of age among directors: 51-59: 1 director; 61-69: 3 directors; 71-79: 3 directors, including 1 female director, accounting for 14%.

Succession Planning for Key Management Personnel
- 3.1 Succession Planning for Board MembersOur company currently has a board of directors consisting of seven members, including three independent directors. All board members possess expertise in business, finance, accounting, or corporate management. In the new board term, senior management members have been newly appointed, and key management team members are invited to attend board meetings. This practice helps cultivate strategic planning capabilities and familiarizes potential successors with board operations. Through ongoing evaluation and observation, suitable candidates for future board succession can be identified.
Independent directors are required to have professional experience in business, law, finance, accounting, or corporate operations, as stipulated by regulatory authorities. Additionally, the government provides an "Independent Director Talent Database" to assist companies in selecting qualified professionals. Our company plans to recruit independent directors from industry professionals with the required expertise. - 3.2 Succession Planning for Key Management PositionsOur company’s succession plan for key management positions focuses on selecting individuals with strong potential who align with the company's values and business philosophy. Successors undergo a structured development process, including participation in key management meetings, management training programs, cross-departmental rotations, and international assignments. These initiatives help enhance their managerial skills, broaden their global perspectives, and develop their comprehensive leadership capabilities.
Each department has senior and mid-level managers, with mid-level managers being cultivated as potential successors for senior management positions. The company conducts annual performance evaluations at least once a year to assess employees' suitability for succession through daily observations and performance reviews. - 3.3 Implementation of Succession Planning Currently, three of our board members have been promoted from internal management positions. We will continue to provide various opportunities for eligible candidates to gain insights into board operations and participate in its activities, thereby nurturing future board members.
To enhance the effectiveness of the board’s functions and stay aligned with evolving corporate and industry developments, we regularly review internal and external conditions and offer annual training programs to strengthen the expertise of our directors.
For mid-to-senior-level management, we implement structured training programs to continuously improve their managerial and professional competencies. Key management personnel undergo departmental rotations every three to five years to broaden their perspectives and strategic thinking, ensuring seamless leadership transitions and talent continuity.
